01Acceptance of these terms
These Terms of Service ("Terms") are an agreement between you (either an individual acting for a business, or a business itself) and SNB Developments Trust, trading as OnHand ("OnHand", "we", "us"), governing your access to and use of the OnHand order-schedule dashboard and related services (the "Service").
By creating an account, starting a free trial, or otherwise using the Service, you agree to these Terms. If you're accepting on behalf of a business, you're confirming you have the authority to do so, and "you" in these Terms refers to that business.
02The Service
OnHand is a subscription dashboard that helps independent supermarkets and hospitality venues track supplier order days, count stock, and generate suggested order quantities from recent sales — sending the resulting order to your supplier by email or text on your instruction.
We may add, change, or remove features over time. We'll try not to remove something you rely on without notice, but the Service is under active development and isn't frozen in place.
03Accounts
One email-verified owner account per store; that owner is responsible for the store's subscription and for the team members, kiosk password, and manager PINs they set up under it. You're responsible for keeping your login, kiosk password, and PINs confidential, and for everything that happens under your account, whether or not you authorized it — tell us immediately at hello@onhand.store if you suspect unauthorized access.
You must provide accurate account information and keep it up to date, and you confirm you're using OnHand for a genuine business, not as a consumer.
04Plans, billing & trials
OnHand offers a Free plan and two paid plans (Basic and Pro) at the prices shown at onhand.store/pricing at the time you subscribe. Paid plans are billed monthly in advance via Stripe and renew automatically until cancelled. The Pro plan's first 7 days are a free trial; if you don't cancel before the trial ends, billing begins automatically at the Pro rate.
You can upgrade, downgrade, or cancel at any time from the Billing Portal in Settings. Cancelling stops future renewals; we don't provide refunds for the unused portion of a billing period except where required by law.
We may change plan pricing going forward, with notice before it applies to you.
05Your responsibilities
- Keeping the stock counts, supplier details, and other Customer Data you enter reasonably accurate — the Service can only be as useful as what it's told.
- Reviewing every order before it's sent — OnHand generates a suggested quantity and drafts the order, but a person on your team confirms it, every time. That's not a formality; it's how the Service is designed to work.
- Complying with applicable law in how you use the Service, including in your communications with suppliers.
- Keeping your team's access (kiosk password, manager PINs) reasonably secure.
06Acceptable use
You agree not to: use the Service for anything unlawful; attempt to gain unauthorized access to another store's data or to OnHand's systems; reverse-engineer, decompile, or attempt to extract the source code of the Service, except where the law gives you that right regardless; resell or white-label the Service without our written agreement; or use the order-dispatch features (email/SMS) to send anything other than genuine orders to your own suppliers — the Service isn't a general-purpose messaging tool and we may suspend accounts that use it as one.
07Customer Data
You own the data you and your team enter into OnHand — supplier details, product lines, stock counts, order history, and everything else that's specific to your store ("Customer Data"). We don't claim ownership of it.
You grant us a license to host, process, and transmit Customer Data solely to provide the Service to you (for example, sending your order to your supplier, or computing a suggested order quantity from your own sales history). We don't use one store's Customer Data to benefit another store, and we don't sell it.
You're responsible for having the right to enter any information you put into OnHand — including your suppliers' and team members' contact details.
08Order suggestions are advisory, not guarantees
09Suppliers & third-party communications
OnHand is a tool you use to communicate with your own suppliers — we're not a party to your relationship with them, we don't guarantee they'll receive, read, or act on an order, and we're not responsible for their pricing, availability, or delivery. If a message fails to send, the Service will generally fall back to another channel or flag it, but you're responsible for confirming an order actually went through for anything time-critical.
10Free live demo
The demo sandbox is for evaluation only. Nothing you enter there is a real order (no email or text actually leaves our systems), and every demo store — and everything in it — is automatically and permanently deleted within 24 hours. Don't use the demo for anything you need to keep.
11Intellectual property
OnHand and its underlying software, design, and branding are owned by SNB Developments Trust and protected by applicable intellectual property law. Nothing in these Terms transfers any of that to you — you're granted a limited, non-exclusive, non-transferable right to use the Service for your own business, subject to these Terms.
12Disclaimer of warranties
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We don't warrant the Service will be uninterrupted, error-free, or available at all times — though we work to keep it that way, and nothing here excludes any consumer guarantee that can't lawfully be excluded, including under the Australian Consumer Law.
13Limitation of liability
To the fullest extent permitted by law, OnHand's total liability to you for any claim arising from these Terms or the Service is limited to the amount you paid us in the 12 months before the claim arose, and we're not liable for indirect, incidental, or consequential loss (including lost profits or lost stock) — except where that limitation can't lawfully apply, such as liability that can't be excluded under the Australian Consumer Law.
14Indemnification
You agree to indemnify OnHand against claims, losses, and expenses arising from your breach of these Terms, your misuse of the Service, or Customer Data you didn't have the right to enter.
15Termination
You can stop using the Service and cancel your subscription at any time. We may suspend or terminate an account that breaches these Terms, doesn't pay when due, or poses a security risk to the Service or other stores — we'll generally give notice first, except where the risk requires acting immediately.
On termination, your right to use the Service ends; we'll retain your Customer Data for a reasonable period in case you'd like a copy or to reactivate, per Section 6 of the Privacy Policy, then delete it.
16Changes to these Terms
We may update these Terms from time to time; the date below will change when we do, and we'll tell you directly if a change is material. Continuing to use the Service after a change takes effect means you accept the updated Terms.
17Governing law
These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of its courts, without prejudice to any consumer protections you're entitled to under the law of the country you're actually located in.
